By accessing or using the Netch application, website, or related services (collectively, the "Service"), you agree to be bound by these Terms. If you do not agree to these Terms, you must not use the Service.

2. Eligibility

To use Netch, you must:

• Use the Service for professional purposes only
• Provide accurate, truthful, and up-to-date information

Netch is not intended for dating, casual social networking, or non-professional use.

3. Account Registration and Responsibility

You are responsible for:

• Maintaining the confidentiality of your login credentials
• All activities conducted through your account
• Ensuring your profile information is accurate, professional, and lawful

You must not impersonate others, misrepresent your identity, or create misleading profiles.

4. Acceptable Use

You agree not to:

• Send spam, unsolicited promotions, or mass outreach
• Use the Service primarily for direct selling or lead scraping
• Harass, threaten, discriminate, or act disrespectfully
• Misrepresent intentions, roles, or professional background
• Circumvent safeguards, limits, or moderation systems
• Use bots, scrapers, or automated tools

Netch is designed for intentional, respectful, one-to-one professional interactions.

5. Matching, Communication, and Meetings

• Matches occur only when both users express interest
• Chats are created automatically after a match
• Meetings are arranged directly between users
• Netch does not record, monitor, or store meeting content
• Users are responsible for attending meetings they schedule

Repeated no-shows or unprofessional behavior may result in moderation actions.

6. Reporting and Moderation

6.1 User Reports

Users may report others for:

• Spam or unsolicited selling
• No-show behavior
• Disrespectful or inappropriate conduct
• Any violation of these Terms

Reports may include optional descriptive text.

6.2 Moderation Actions

Netch reserves the right to take moderation actions including warnings, feature limitations, temporary suspensions, or permanent account removal.

6.3 No Obligation to Disclose Internal Criteria

To protect platform integrity and prevent abuse, Netch is not required to disclose detailed moderation logic, thresholds, or internal decision-making processes.

7. Suspension and Termination

Accounts may be suspended or terminated if:

• These Terms are violated
• Repeated or serious reports are received
• Abuse, spam, or harmful behavior is detected
• Legal, security, or operational risks arise

Suspended users regain access only after the suspension period ends or upon explicit reinstatement by Netch. Deleted accounts may permanently lose access to the Service.

8. Advertising, Sponsored Content, and Promotions

Netch may display advertising, sponsored content, or partnership-related communications within the Service or via newsletters.

• Sponsors do not receive access to user profiles or personal data
• Email addresses, private activity, and matches are not shared
• Advertising does not influence match visibility or outcomes

9. Intellectual Property

All software, content, trademarks, designs, and intellectual property related to Netch are owned by Netch or its licensors. Users may not copy, modify, distribute, reverse engineer, or exploit any part of the Service without prior written consent.

10. Service Availability and Changes

Netch may:

• Modify, limit, or discontinue features
• Introduce usage thresholds or eligibility requirements
• Temporarily suspend access for maintenance or security

The Service is provided without guarantees of uninterrupted availability.

11. Disclaimer of Warranties

The Service is provided on an "as is" and "as available" basis. Netch makes no warranties regarding:

• Match quality or relevance
• Meeting outcomes
• Professional, business, or financial results

12. Limitation of Liability

To the maximum extent permitted by law, Netch shall not be liable for:

• Missed meetings or failed connections
• User conduct or communications
• Loss of opportunities, revenue, or reputation
• Indirect, incidental, or consequential damages

13. Disclaimer for Professional Outcomes

Netch does not guarantee employment, business opportunities, partnerships, or financial results. All professional decisions and interactions remain the sole responsibility of users.

14. Indemnification

You agree to indemnify and hold harmless Netch from claims, damages, or liabilities arising from:

• Your use of the Service
• Your violation of these Terms
• Your interactions with other users

15. Governing Law and Jurisdiction

These Terms are governed by and construed in accordance with:

• The laws of England and Wales for users located in the United Kingdom
• The laws of the State of California, United States, for users located in the United States
• European Union law and the laws of Netch's country of establishment for all other users

Nothing in these Terms limits mandatory consumer protections under applicable local laws.

16. Dispute Resolution (United States)

For users located in the United States, disputes arising out of or relating to these Terms or the Service shall be resolved through binding arbitration, where permitted by law, except for claims eligible for small claims court.

You waive the right to participate in class actions or representative proceedings, to the extent permitted by law.

17. Changes to These Terms

Netch may update these Terms from time to time. Continued use of the Service after changes become effective constitutes acceptance of the updated Terms.
